Terms of Service

Last updated: August 19, 2026

These terms govern your access to and use of Strata, the artist intelligence and digital asset management platform operated by Strata Green, Inc. By using the platform, you agree to them. If you are agreeing on behalf of an organization, you represent that you have authority to bind it, and “you” means that organization.

1. The service

Strata provides record labels, artist management companies, and similar organizations with analytics and digital asset management for the artists they represent. Access is granted to a named organization and to the individual users that organization invites.

We may add, change, or remove features over time. Where a change materially reduces functionality you rely on, we will make a reasonable effort to give notice first.

2. Accounts and eligibility

You must be at least 18 and authorized to act for your organization. Accounts are created by invitation from a workspace administrator, and authentication runs through our identity provider, so we hold no password for you.

You are responsible for activity under your account. Tell us at engineering@strata.green if you believe an account has been compromised.

3. Connected platform accounts and authorization

Strata can connect to third-party platforms on behalf of an artist or organization in order to retrieve analytics about that artist’s own accounts. The following apply to every such connection.

  • Authorization is granted by the account holder. A connection may only be established by the person or entity that holds, or is expressly authorized to administer, the account being connected. By connecting an account you represent that you have that authority. You may not connect an account you do not own or administer.
  • We operate only within the granted scopes. Each connection is made through the platform’s own OAuth flow, and we access only the data covered by the permission scopes you approve, solely to provide the service to the organization that made the connection. We do not attempt to access data outside those scopes.
  • Use is subject to each connected platform’s own terms. Your use of a connected platform through Strata remains governed by that platform’s terms of service, developer policies, and privacy policy, in addition to these terms. Where they conflict, the platform’s terms control with respect to that platform’s data.
  • Authorization is revocable at any time. See Revoking access for how.

A platform may change, rate-limit, or withdraw its API at any time. If that happens, the affected functionality may degrade or stop working, and we are not liable for the interruption.

4. Your content

You keep all rights in the audio, artwork, video, documents, and metadata you upload or connect. We claim no ownership of it.

You grant us a limited, non-exclusive license to host, store, process, transmit, and display that material as needed to operate the service for your organization. The license ends when the material is deleted.

You are responsible for holding the rights necessary to upload it, including rights in any recordings, compositions, artwork, or likenesses it contains.

5. Acceptable use

You agree not to:

  • connect an account you do not own or are not authorized to administer;
  • scrape, resell, or redistribute data obtained through the service in violation of a platform’s terms;
  • attempt to circumvent authentication, rate limits, or access controls, or reach another organization’s data;
  • upload material you lack the rights to, or that is unlawful or malicious;
  • reverse engineer the service, except where that restriction is unenforceable under applicable law;
  • place an unreasonable load on our infrastructure or on a connected platform’s API.

6. Privacy

Our handling of personal data is described in the Privacy Policy, which forms part of these terms.

7. Our intellectual property

The software, interfaces, design, and the Strata name and marks are owned by Strata Green, Inc. and its licensors. Subject to these terms, we grant your organization a limited, non-exclusive, non-transferable, revocable right to use the service for its internal business purposes.

8. Fees

Where a subscription applies, fees, billing frequency, and term are set out in the ordering document your organization agreed to. Fees are non-refundable except where required by law. We may change pricing on renewal with prior notice.

9. Suspension and termination

You may stop using the service at any time, and an administrator may remove a user’s access at any time. We may suspend or terminate access if you materially breach these terms, if required by law or by a connected platform, or if your use poses a security risk.

On termination we delete or return your organization’s data as described in the Privacy Policy. Sections on ownership, disclaimers, limitation of liability, and governing law survive termination.

10. Third-party services

The service integrates third-party platforms and infrastructure providers. We do not control them, do not guarantee their availability or the accuracy of the data they return, and are not responsible for their acts or omissions. Metrics are reported as the source platform provides them and may be restated or withdrawn by that platform.

11. Disclaimers

The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, or that analytics derived from third-party platforms will be complete or accurate.

12. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability will not exceed the greater of the amounts your organization paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars.

13. Indemnity

You will defend and indemnify Strata Green, Inc. against third-party claims arising from your content, from your connection of an account you were not authorized to connect, or from your use of the service in breach of these terms or of a connected platform’s terms.

14. Changes to these terms

We may update these terms. We revise the date at the top when we do, and we give notice before material changes take effect. Continuing to use the service after that means you accept the revised terms.

15. Governing law

These terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of them, and each party consents to that jurisdiction and venue.
